Terms of Service

Effective 15 October 2026 · Version 2.1

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Echo International Communications Pte. Ltd., a company incorporated in the Republic of Singapore, with its registered address at 16 Raffles Quay, #16-02, Hong Leong Building, Singapore 048581 (“Echo International”, “we”, “our”, or “us”), governing your access to and use of the Alpha platform, including any associated software, services, content, methodologies, and documentation (collectively, the “Platform”).

By clicking “I Accept,” accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

Authority to bind. If you access or use the Platform on behalf of a company, firm, partnership, or other legal entity (an “Organisation”), including where you create, administer, or are invited into a workspace associated with that Organisation, you represent and warrant that: (a) you are duly authorised to enter into these Terms on that Organisation’s behalf; (b) you have obtained all internal approvals required to do so; and (c) the Organisation is bound by these Terms. In that case, “you” and “your” in these Terms refer to both you individually and to that Organisation, which are jointly and severally responsible for compliance. A person holding administrator or owner permissions in a workspace is deemed to hold such authority in respect of that workspace and of every user invited into it.

Our Data and Privacy Policy forms part of, and is incorporated by reference into, these Terms, and describes how information submitted to the Platform is collected, used, stored, disclosed, and deleted.

1. Definitions

“Confidential Information” means any non-public information disclosed by Echo International to you, including but not limited to the Platform’s source code, architecture, prompts, methodologies, thinking patterns, knowledge base, output structures, business logic, pricing, roadmap, and any information marked or reasonably understood to be confidential.

“Intellectual Property” means all patents, copyrights, trademarks, trade secrets, know-how, methodologies, frameworks, processes, algorithms, prompts, training data, models, outputs, and any other proprietary rights, whether registered or unregistered.

“Output” means any content, document, presentation, recommendation, strategy, idea, or other material generated by the Platform in response to your inputs.

“User Content” means any briefs, files, documents, text, or other materials you upload to or input into the Platform.

2. Ownership and Intellectual Property

2.1 Platform Ownership. All right, title, and interest in and to the Platform, including all underlying technology, source code, architecture, prompts, methodologies, the proprietary thinking-pattern framework, the structured module pipeline, the knowledge base, training data, and all derivative works thereof, are and shall remain the exclusive property of Echo International Communications Pte. Ltd. Nothing in these Terms transfers any ownership to you.

2.2 Methodology Ownership. You expressly acknowledge that the Alpha platform incorporates original intellectual property developed by Echo International, including but not limited to the strategic communications methodology, the thinking-pattern taxonomy, the multi-module workflow architecture, and all associated frameworks. These constitute trade secrets and proprietary know-how of Echo International.

2.3 Output Ownership. Subject to your full compliance with these Terms and timely payment of any applicable fees, Echo International grants you a non-exclusive, non-transferable, revocable license to use Outputs generated specifically for and by you for your internal business purposes only. Echo International retains all underlying rights in the Platform and methodology used to generate such Outputs.

2.4 No Implied Licenses. No license or right is granted by implication, estoppel, or otherwise except as expressly set out in these Terms.

2.5 Feedback. Any feedback, suggestions, or improvements you provide regarding the Platform are non-confidential and become the sole property of Echo International, without any obligation of compensation or attribution.

3. License Grant

Subject to your compliance with these Terms, Echo International grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your internal business purposes and only as expressly authorized by Echo International.

4. Restrictions on Use

You shall not, and shall not permit any third party to, directly or indirectly:

4.1 reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, algorithms, prompts, or methodology of the Platform, except to the extent such restriction is expressly prohibited by applicable law;

4.2 copy, modify, adapt, translate, or create derivative works of the Platform, the methodology, or any Output for use outside the licensed scope;

4.3 use the Platform, methodology, or Outputs to develop, train, fine-tune, evaluate, or improve any competing product, service, machine learning model, or artificial intelligence system;

4.4 extract, scrape, harvest, or otherwise collect data, prompts, training inputs, or methodology details from the Platform by any automated or manual means;

4.5 disclose, publish, share, or otherwise make available any Confidential Information, the methodology, prompts, or non-public Outputs to any third party without the prior written consent of Echo International;

4.6 use the Platform to generate Outputs that infringe any third-party rights, violate any law, or breach any contract;

4.7 remove, obscure, or alter any proprietary notices, watermarks, or attributions on the Platform or any Output;

4.8 circumvent, disable, or interfere with any security, authentication, rate-limiting, or access-control feature of the Platform;

4.9 sublicense, lease, rent, sell, resell, distribute, or otherwise commercially exploit access to the Platform or any Output without the prior written consent of Echo International;

4.10 use the Platform in any manner that could damage, disable, overburden, or impair Echo International’s systems or interfere with any other party’s use of the Platform;

4.11 access the Platform through any account other than your own authorized account, or share your credentials with any other person; or

4.12 use the Platform for any unlawful, fraudulent, defamatory, infringing, or otherwise objectionable purpose.

5. Non-Compete

5.1 During your use of the Platform and for a period of twelve (12) months following the cessation or termination of your access to the Platform, you shall not, whether directly or indirectly, on your own account or for any other person or entity, design, develop, build, launch, market, sell, license, or otherwise commercialize any product, service, software, or platform that:

(a) replicates or substantially imitates the Platform’s structured module pipeline, thinking-pattern taxonomy, or strategic communications methodology; or

(b) is materially derived from, or substantially based upon, Confidential Information, methodology, prompts, or Outputs accessed through the Platform.

5.2 The geographic scope of this restriction is global, reflecting the global digital nature of the Platform and Echo International’s legitimate business interests.

5.3 You acknowledge and agree that the duration, scope, and geography of this restriction are reasonable and necessary to protect Echo International’s Intellectual Property, Confidential Information, and legitimate commercial interests.

5.4 Nothing in this Section prevents you from working in the broader strategic communications, marketing, public relations, or consulting industries generally, provided you do not breach Sections 5.1(a) or 5.1(b).

6. User Content

6.1 You retain ownership of your User Content. By submitting User Content, you grant Echo International a worldwide, non-exclusive, royalty-free license to use, store, process, transmit, and display such User Content as necessary to operate the Platform and provide the services to you.

6.2 Aggregated Usage Data. You acknowledge and expressly consent that Echo International may use only anonymized, de-identified, and aggregated information derived from your workspace activity (such as request volumes, feature usage counts, error rates, and performance timings) to operate, secure, measure, and improve the Platform. For the avoidance of doubt, this permission extends to activity and usage metadata only. It does not extend to your User Content, your uploaded materials, or your Outputs, and nothing in this Section 6.2 qualifies the covenant in Section 6.2A.

6.2A Our Commitment: No Training, No Sharing. Echo International will NOT train the Alpha platform, or any other artificial intelligence or machine learning model, whether its own or a third party’s, on the data you upload. Echo International will NOT use your identified proprietary materials, methodologies, strategies, client information, briefs, knowledge base documents, or Outputs for the benefit of any other workspace, any other customer, or Echo International itself. Your workspace is treated as a closed environment: what you put into it is used to serve you, and for no other purpose. This covenant applies to your User Content and Outputs in original, derived, summarised, de-identified, anonymised, and aggregated forms alike, and survives termination of these Terms. Echo International further contracts with its artificial intelligence sub-processors on terms under which content submitted through their interfaces is not used to train their models.

6.3 You represent and warrant that you have all necessary rights, consents, and authorizations to submit your User Content, including any rights required to permit the uses described in Section 6.1, and that such submission does not violate any law, contract, confidentiality obligation, or third-party right.

6.4 You are solely responsible for the accuracy, legality, and appropriateness of all User Content, including ensuring that you do not upload information you are not authorized to share.

7. Data Protection

7.1 Singapore Data Protection. Echo International handles personal data in accordance with the Personal Data Protection Act 2012 of Singapore.

7.2 EU and UK Data Subjects. Where you are located in the European Economic Area, the United Kingdom, or Switzerland, or where User Content includes personal data of individuals located in those jurisdictions, the General Data Protection Regulation (Regulation (EU) 2016/679) (“GDPR”) and the UK Data Protection Act 2018, as applicable, apply.

7.3 Roles

For the purposes of GDPR (where applicable):

(a) you are the data controller in respect of any personal data contained in your User Content; and

(b) Echo International is the data processor in respect of such personal data, processing it on your documented instructions for the purpose of providing the Platform; and

(c) where you set up a media monitoring or social listening watch, you are the controller of that watch and Echo International is a controller of the information it gathers, stores, and analyses to run it, as described in the Data and Privacy Policy; contact details you type into a watch yourself remain your data, held by Echo International as your processor.

7.4 Data Subject Rights. Where GDPR applies, data subjects have rights of access, rectification, erasure, restriction, data portability, and objection. Requests relating to User Content shall be directed to you as the controller; Echo International will provide reasonable assistance to enable you to comply.

7.5 International Transfers. You acknowledge that the Platform’s database and file storage are hosted in Singapore, that its application functions run in South Korea, and that its providers are in the United States and the European Union, so that personal data may be transferred to, processed in, and stored in Singapore, South Korea, the United States, and the European Union, which may be outside the EEA or the UK. Where required by the GDPR or the UK data protection regime, such transfers are made under appropriate safeguards, including the European Commission’s Standard Contractual Clauses, the UK International Data Transfer Addendum, or an adequacy decision.

7.6 Sub-Processors. Echo International engages third-party service providers as sub-processors in the following categories: cloud hosting and application delivery (including serverless functions, scheduled jobs, service logs, and cookieless page analytics); database, authentication, and file storage; artificial intelligence providers (language models, text embeddings, image and video generation, translation, and web search run on Echo International’s behalf); payment processing; transactional email delivery; error monitoring; news search and web search providers used for media monitoring; providers that collect public social media posts and comments for social listening; the social platforms whose accounts you connect to the Platform, on your authorisation; and image search by keyword. By accepting these Terms, you provide a general authorization for Echo International to engage such sub-processors, and to any addition, replacement, or removal of a sub-processor. The current list of sub-processors by name is available to you on request; it is Confidential Information under Section 10, and Echo International gives notice of additions and replacements to the customers who hold it. Where applicable data protection law gives you a right to object to a change, you may exercise it by writing to Echo International. Except where applicable data protection law requires otherwise, these Terms do not entitle you to approve any sub-processor.

7.6A Deletion. Where you delete User Content through the Platform using a deletion function described as permanent, Echo International shall delete the underlying record and associated stored files from its live production systems. Deletion of this kind is irreversible. Deleted material may persist in encrypted backups for a limited period, after which it is overwritten in the ordinary course; during that period it is not accessible through the Platform and is not used for any purpose. Echo International does not apply automatic time-based deletion to User Content: your material remains available until you choose to remove it or your account is closed. Retention and deletion are described in full in the Data and Privacy Policy.

7.6B Your Clients’ Material. Where you upload material belonging to your own clients, that material remains theirs as between you and them, and yours as between you and Echo International. Echo International acquires no ownership of it and shall not deal with it other than as permitted by these Terms and the Data and Privacy Policy.

7.7 Data Processing Agreement. This Section 7, together with the Data and Privacy Policy, constitutes the data processing agreement between you and Echo International for the purposes of Article 28 of the GDPR and equivalent provisions of applicable data protection law. It is incorporated into these Terms and takes effect on your acceptance of them; no separate signature or execution is required. If you need a signed copy of this data processing agreement for your records, Echo International provides one on request to the contact address in the Data and Privacy Policy.

7.7A Details of processing. The subject matter of the processing is the provision of the Platform. Its duration is the term of your access, together with the retention criteria described in the Data and Privacy Policy. Its nature and purpose is the hosting, storage, generation, and processing of User Content in order to deliver the Platform to you. The types of personal data are those contained in the User Content you choose to submit, together with the account and usage data described in the Data and Privacy Policy. The categories of data subjects are your personnel, your clients’ personnel, any individuals referenced in User Content you submit, and the journalists and contacts whose details you type into a media monitoring watch. The signed copy available under Section 7.7 repeats these details.

7.8 Security. Echo International implements reasonable technical and organizational measures to protect personal data against unauthorized access, alteration, disclosure, or destruction, but does not warrant absolute security.

7.9 Breach Notification. Echo International will notify you of any personal data breach affecting your personal data or your User Content without undue delay after becoming aware of it, aiming to do so within seventy-two (72) hours, and will provide the information reasonably available to it to help you meet your own notification obligations.

8. Outputs and AI-Generated Content

8.1 The Platform uses artificial intelligence and large language models to generate Outputs. You acknowledge that AI-generated Outputs may contain errors, inaccuracies, omissions, hallucinations, or content that is unsuitable for your particular purpose.

8.2 Echo International makes no representation or warranty regarding the accuracy, completeness, suitability, originality, or non-infringement of any Output. You are solely responsible for reviewing, verifying, and exercising professional judgment over any Output before relying on or distributing it.

8.3 You shall not represent any Output as having been produced solely by Echo International, by any human consultant, or without AI assistance, in any context where such representation would be misleading.

9. Fees and Payment

9.1 Where applicable, you agree to pay all fees associated with your use of the Platform in accordance with the pricing communicated to you. All fees are non-refundable except as expressly stated.

9.2 Echo International reserves the right to modify pricing at any time, with reasonable notice for existing users.

9.3 You are responsible for any taxes, duties, or levies arising from your use of the Platform, other than taxes on Echo International’s net income.

10. Confidentiality

10.1 You acknowledge that the Platform contains highly valuable Confidential Information of Echo International. You agree to maintain all Confidential Information in strict confidence, to use it solely for the purposes authorized under these Terms, and to protect it with at least the same degree of care you use for your own confidential information of similar importance, and in no event less than reasonable care.

10.2 The confidentiality obligations under this Section survive termination of these Terms indefinitely.

10.3 Any breach or threatened breach of this Section will cause irreparable harm to Echo International for which monetary damages would be inadequate, and Echo International shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.

11. Termination

11.1 Echo International may suspend or terminate your access to the Platform at any time, with or without notice, including for breach of these Terms, suspected fraud or misuse, or any conduct that Echo International determines, in its sole discretion, to be harmful to the Platform, other users, or Echo International’s interests.

11.2 You may terminate your use of the Platform at any time by ceasing access and notifying Echo International.

11.3 Upon termination: (a) your license to access and use the Platform immediately ends; (b) you must immediately cease all use of the Platform, methodology, and Confidential Information; (c) you must destroy or return all copies of any Confidential Information in your possession; and (d) Sections 2 (Ownership), 4 (Restrictions), 5 (Non-Compete), 6.2, 6.2A and 6.3 (Aggregated Usage Data, No Training, No Sharing, and Warranties), 7 (Data Protection), 8 (Outputs), 10 (Confidentiality), 11.4 (Data at Termination), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), 16 (Governing Law), and 17 (Disclosures) shall survive termination.

11.4 Data at Termination. On termination, access to your workspace is deactivated at once. On your written request made within thirty (30) days of termination, Echo International will return your User Content to you or delete it, except for records that law requires Echo International to keep and backup copies, which expire in the ordinary course as described in Section 7.6A. If you make no request, your content stays stored and inaccessible until you ask for it to be deleted, which you may do at any time.

12. Disclaimers

12.1 THE PLATFORM AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

12.2 ECHO INTERNATIONAL EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12.3 ECHO INTERNATIONAL MAKES NO WARRANTY THAT ANY OUTPUT WILL ACHIEVE ANY PARTICULAR RESULT, OUTCOME, AWARD, BUSINESS WIN, OR OTHER BENEFIT.

13. Limitation of Liability

13.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ECHO INTERNATIONAL, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR REPUTATION, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT ECHO INTERNATIONAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 ECHO INTERNATIONAL’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO ECHO INTERNATIONAL IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED SINGAPORE DOLLARS (SGD 100).

14. Indemnification

You agree to defend, indemnify, and hold harmless Echo International, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use or misuse of the Platform; (b) your User Content, including any claim that your User Content infringed any right of any third party or violated any law or contract; (c) your breach of these Terms; (d) your violation of any law or third-party right; or (e) any Output you distribute, publish, or rely upon.

15. Modifications to These Terms

Echo International reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email. Your continued use of the Platform after such notice constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must cease using the Platform.

16. Governing Law and Dispute Resolution

16.1 These Terms are governed by and shall be construed in accordance with the laws of the Republic of Singapore, without regard to its conflict-of-laws principles.

16.2 Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of SIAC for the time being in force, which rules are deemed to be incorporated by reference into this clause. The seat of arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English. The award shall be final and binding on the parties.

16.3 Notwithstanding the foregoing, Echo International may seek injunctive or equitable relief in any court of competent jurisdiction to protect its Intellectual Property or Confidential Information.

17. Disclosures

By accepting these Terms, you specifically acknowledge that the following disclosures have been made to you, and you confirm you have been informed of and understand each of them:

17.3 Third-party providers. The Platform sends prompts, inputs, User Content, and the material it gathers for you to third-party providers, each receiving only what its role needs, in the following categories: cloud hosting and application delivery (including serverless functions, scheduled jobs, service logs, and cookieless page analytics); database, authentication, and file storage; artificial intelligence providers (language models, text embeddings, image and video generation, translation, and web search run on Echo International’s behalf); payment processing; transactional email delivery; error monitoring; news search and web search providers used for media monitoring; providers that collect public social media posts and comments for social listening; the social platforms whose accounts you connect to the Platform, on your authorisation; and image search by keyword. Echo International is not responsible for any breach by you of any duty of confidence owed to such third parties.

17.6 Methodology origin. The Platform incorporates original methodology developed by Echo International. Use of the Platform does not grant you any right to replicate, teach, license, or commercialize that methodology.

17.7 No guaranteed outcomes. No Output, recommendation, or strategy generated by the Platform guarantees any business outcome, award, pitch win, campaign result, or other measurable success.

17.8 Service availability. The Platform may experience downtime, errors, or interruptions. Echo International does not commit to any specific uptime, response time, or availability service level unless separately agreed in writing.

18. General

18.1 Entire Agreement. These Terms constitute the entire agreement between you and Echo International regarding the Platform and supersede all prior or contemporaneous communications and proposals.

18.2 Severability. If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.

18.3 No Waiver. Echo International’s failure to enforce any right or provision shall not constitute a waiver of such right or provision.
